Client terms of service

Version
v1
Effective
October 1, 2026

These terms apply to every project and every monthly plan with Emov Studio LLC. Each project is defined by its proposal and, when there is one, its statement of work, which say what is built, what it costs and by when. The rules are here; the amounts are always in your proposal or statement of work and in the current price list. If there is no statement of work, the proposal and these terms define the project; if the statement of work says something different about that project, the statement of work wins. Partner agencies have their own agreement.

This is the current version.

1.How you accept them

Proposals and quotes carry a link to these terms. If the project has a statement of work, we email it to you. You accept by replying "Acepto" by email to the proposal or, if there is one, to the statement of work. With your reply we record the date, your email address, the language you accept in, the document accepted and the version of these terms.

The version you accept stays online. We keep the record of your acceptance as history, also after the contract ends.

2.Monthly plans

Every site we host has a plan. It starts on launch day and the first month is billed by the day. The plan is always paid in advance, at the start of each period, and you choose the period: every month, every 3 months, every 6 months or once a year. Each period starts on the 1st. Paying every month, every 3 months or every 6 months costs the monthly price times the months of the period, with no discount; paying the year costs 12 months for the price of 10. The price of your plan is in your proposal or statement of work and follows the current price list. If an add-on has a monthly fee, it is quoted per service and complexity, and it is stated in your proposal or statement of work.

Esencial
2 small changes a month. First reply within 3 business days and the change done within 5.
Mantenimiento
5 small changes a month, a monthly check of forms, links and WhatsApp with a report, and a quarterly speed check. First reply within 1 business day and the change done within 3.

Both plans include hosting (on Cloudflare, at no extra cost to you), the HTTPS certificate and security headers, backups of the published versions of the site, code and content (we restore any version from the last 12 months within 1 business day), site monitoring, analytics running, and the renewal of your .com domain while the plan is paid up. If the site goes down or a form or the WhatsApp button breaks, we reply within 4 business hours.

Business days and hours: Monday to Friday, 9:00 to 18:00 Managua time, excluding Nicaraguan national holidays. We announce planned absences two weeks ahead; on those days reply times pause and incidents are handled as soon as possible.

Not included: mailboxes (forwarding info@ to your Gmail is free and we set it up), other domains, the plans of third-party tools in your name, and new sections, pages or features, which are quoted.

3.Small changes

A small change is work that needs engineering: editing a text (about a paragraph), swapping up to 3 photos you supply, updating a price, hours, phone number, address or link, adding or removing one entry of an existing list, or hiding or showing an existing section. Doing it in Spanish and English counts as one.

Not a small change: a new section, page or layout, changing colors or fonts, a new integration, rewriting a page, writing copy from scratch, or retouching photos beyond cropping. If a request touches many entries, it counts as one change per 10 entries. If your site has the Emov Studio content manager, you edit your photos, videos and part of the site's text there and it does not use changes; without it, editing content does count.

  • Ask in writing (WhatsApp or email), with the final text and photos ready; the clock starts when the request is complete. If it is bigger than a small change, before starting we tell you how many changes it counts as, or quote it.
  • All the changes included in a month add up to at most 2 hours of our work. Anything beyond that is quoted as a change order.
  • Changes are counted per calendar month (Managua time) and do not roll over.
  • Past the quota, or without a plan, each change is approved in writing before we do it and is charged at the current price list.

4.Usage and fair use

Visits to your site are unlimited: they are not charged for normal traffic (see fair use). Each month, your plan includes:

  • Esencial: 300 stored form submissions and 2 GB of photos and files.
  • Mantenimiento: 1,000 stored form submissions and 5 GB of photos and files.

Forms are never blocked. Anything past the quota is billed at month end, on actual use and at the current price list, in blocks: each block of 500 extra form submissions and each block of 10 extra GB. If the month total is very small, it is not billed; the billing minimum is in the current price list. That rule does not apply to extra analytics usage, which is always billed. We warn you when you reach 80% and 100% of a quota. If you reach double the storage quota, we stop accepting new files until you approve it in writing.

Fair use: if usage goes far beyond these quotas or traffic is unusual, we may quote it separately, with 30 days of notice.

5.Technical standards

This is how we build and look after every site. They are working targets we measure ourselves against, not guarantees of results.

  • Speed: we aim for 95 or more in all four Google Lighthouse categories on mobile (performance, accessibility, best practices and SEO). Pages with a lot of video, 3D or very heavy images can fall below that; if yours is one, we tell you before we build.
  • Accessibility: we design toward level AA of the WCAG 2.2 guidelines and check every site with an automated mobile test.
  • Technical SEO: titles and descriptions per page, structured data, Spanish and English linked to each other, a sitemap and registration in Google Search Console. We apply good practice; Google decides rankings, and we do not guarantee positions, traffic or sales.
  • Security: HTTPS across the site and security headers.
  • Backups: of the published versions of the site (code and content); we restore any version from the last 12 months (see Monthly plans).
  • Monitoring: we watch that the site is online and respond if it goes down (times under Monthly plans). We do not promise an uptime percentage, because hosting depends on Cloudflare.
  • Analytics: no cookies and no personal data.
  • Review: more than 20 automated checks before every launch, plus a review by a person.

What we do guarantee is in the approval and warranty section: we fix our own errors at no cost for 30 days from launch.

6.Tools hosted by Emov Studio

Some parts of your site run on tools that Emov Studio hosts and maintains on its own infrastructure: the Emov Studio content manager, the form inbox, the results dashboard and other custom integrations. Your proposal or statement of work says which ones your site uses.

Those tools and their code belong to Emov Studio. You use them while your plan is paid up. When you leave, we hand over your content as files (texts, photos, form contacts as CSV) and help you with the transition, but the tool itself is not transferred: to keep an equivalent feature you will need your own tool or a new integration.

7.Term, exit and domain

The plan runs for a minimum of 6 full months after the launch month (a launch on the 1st counts as the first month). After that it continues month to month and you can cancel with 30 days of written notice: the plan ends on the last day of the month in which those 30 days run out, or at the end of the minimum if that is later. A period paid in advance (a month, 3 months, 6 months or a year) runs to its end, with no partial refunds. You can move to a smaller plan at the end of the paid period, and not before the minimum ends; if you move to a bigger plan, the change is immediate and we charge the difference, in proportion to the rest of the period. If you leave before the minimum, we bill the remaining minimum months.

When you leave, within 10 business days of your full payment we hand over the site files, the content in both languages, the form contacts as CSV, an analytics export and the domain transfer code. The site stays online until the plan ends. What runs on the hosted tools is handed over as the hosted tools section explains.

Your project includes the first year of one .com domain, registered in your name. When the plan ends we stop renewing it, send one reminder 30 days before it expires, and it may lapse. We do not register .ni or .com.ni domains. Other domains are quoted separately.

8.Payments and taxes

  • Projects: 50% to start (the start counts from the day the payment lands) and 50% when you approve the preview, before the production switch, including the add-ons ordered with the project. An add-on under $300 ordered on its own after the project is paid in full on approval.
  • Deposit: if you cancel before we send you the first design direction, we refund it in full within 5 business days. After that, it is not refundable.
  • Invoices are due in 15 days. Past 30 days late, we stop making changes; past 60, we may send a written notice and take the site offline 10 business days later. We charge no late interest.
  • Prices are in US dollars and exclude taxes. Any tax, duty or withholding in your country is yours. We invoice from Emov Studio LLC, a US company, with no IVA. Each side pays its own bank fees: the invoiced amount must arrive in full.

9.Content, approval and warranty

Delivery times count from the moment your content is complete. If we wait on you for 15 business days, the project pauses and restarts at our next free slot. After 60 days paused it closes: the deposit covers the work done and, if you come back within 6 months, it counts toward the same project; after that we quote again.

You approve in writing, by email. If you do not answer, we send one reminder and, 10 business days later, the work counts as approved and the balance is due.

We include two change rounds before launch. A round is one list, sent at once, with changes to text, images, order and colors inside the approved design; it does not include new sections or pages or a different design direction. You get a 30-day warranty on our own bugs, counted from launch: a bug is something that does not work as the proposal or the statement of work describes it, and fixing it at no cost is the remedy.

10.Ownership and source code

It is yours

Your content, brand, photos, domain, contacts and analytics data are always yours.

We own the code and our tools: templates, checks, shared packages and the hosted tools described in the "Tools hosted by Emov Studio" section.

We hand over your site's source code when you ask, once the project is fully paid and the 6-month minimum is over: a zip sent to an email you name, within 15 business days, with a perpetual, non-exclusive license for you or anyone you hire to use and modify it for that site (not to resell it or build other sites with it). The zip includes, under the same license, the Emov Studio packages the code needs to build. The tools Emov Studio hosts are not included. If you ask earlier, the remaining minimum months are billed first.

Portfolio: we may show your site in our portfolio and in proposals unless you tell us in writing that we may not. You can say so at any time.

11.Your responsibilities and acceptable use

You are responsible for holding the rights to your texts, photos, logos and brands, and for the legal accuracy of your privacy and terms pages.

We do not publish illegal content, fraud or deceptive offers, adult content, gambling, weapons sales, hate, or material that copies someone else's work or brand without permission. A site that breaks this can be suspended after we tell you, except in clearly illegal cases.

12.Our liability

Our total liability is capped at what you paid in the previous 12 months, and it does not cover indirect damages, except where the law does not allow it to be limited.

We are not responsible for outages or changes at third parties: Cloudflare, Meta and WhatsApp, Google, PostHog, Resend, domain registries and registrars, or your own providers.

13.Your data

What we store and where:

  • Your site's form submissions (what the person writes, the date and the language), in a Cloudflare database; the email alert goes out through Resend to the address you give us. If the form only opens WhatsApp or email, we store nothing.
  • Visit statistics, with PostHog on servers in the European Union, with no cookies and no personal data: which pages are seen, from which country and on what kind of device.
  • Your site's files, in a private repository and on Cloudflare.
  • Your contact name, email and phone, and your invoices, so we can work with you and meet our obligations.

Who sees it: you and us; the providers above and the artificial intelligence tools we use (Anthropic) process it on our behalf. We do not sell data or use it for advertising. The contacts from your form belong to your business: we store them and hand them over to you.

How long: we keep project records, the record of your acceptance, invoices and your site's data (form contacts and statistics) as history, also after you leave. If you want your site's data deleted, ask us in writing and we do it within 30 days. Invoices and the records of the project and of your acceptance are not deleted.

14.Confidentiality and artificial intelligence

Each side keeps confidential the non-public information the other shares with it, during the contract and for 3 years after it ends. This does not cover information that is already public or that the law requires to be disclosed.

We use artificial intelligence tools to work better, with human review at every step. Your content is not used to train artificial intelligence models.

15.General provisions

The usual rules of a software services contract, in plain words.

Limited warranty
Apart from the 30-day warranty in the approval and warranty section, we deliver the work as it is and give no other warranties, express or implied, such as that the site suits a particular purpose or runs without interruption.
Licenses
You allow us to use your content, brand and materials to build, host and maintain your site, and for the portfolio unless you tell us not to. We give you the right to use the site and the tools we hand over while your plan is paid up; the code and the tools remain ours, except as the ownership and source code section says. When the contract ends and everything is paid, you may keep using the site files we hand over, for that site, with no time limit.
Third-party services
Part of the service depends on third parties, such as Cloudflare, Google, Meta and WhatsApp, PostHog, Resend and domain registrars. Their prices, limits and terms are theirs and can change. A third-party account in your name is yours and follows its own terms.
Your content
If a third party makes a claim about the content you give us (texts, photos, logos, brands) or about illegal use of the site, you are responsible for that claim and for the reasonable costs it causes us.
Force majeure
Neither side is responsible for delays or failures caused by events beyond its reasonable control, such as disasters, power or internet outages, supplier failures or an authority's decisions. What was already due stays due.
Independent contractors
We are independent contractors. This contract does not create a partnership, an employment relationship or an agency between the parties. We may work with collaborators and subcontractors and remain responsible for our work.
Assignment
You may not assign this contract without our written permission. We may assign it to a company that continues our business, telling you in writing.
Notices
Notices are given in writing, by email or WhatsApp, to the addresses in the proposal (for us, [email protected]). They count from the day they are sent.
Termination
Either side may end the contract if the other seriously breaches it and does not fix it within 30 days of the written notice; if we end it without cause, we give 90 days of notice and do not bill the remaining minimum. Payments, liability, ownership, confidentiality and your content stay in force after it ends.
Entire agreement
The proposal, the statement of work (if there is one) and these terms are the entire agreement on the project and replace anything discussed before. A change counts if it is confirmed in writing.
Severability
If a part of these terms cannot be enforced, the rest stays in force.
No waiver
If at some point we do not insist on a right, we have not given it up.

16.Price changes and changes to these terms

If we are going to change a price, we tell you in writing 60 days ahead, and never inside a 6-month minimum or a period paid in advance.

Each version of these terms is published with its effective date, and earlier versions stay online. A new version applies from its effective date onward: finished work is not affected, and work in progress is assessed project by project, by agreement and in writing. On a running plan, a new version applies 30 days after we tell you; if you do not accept it, you may cancel without paying the remaining minimum.

17.Governing law and languages

Before any claim, the parties try in good faith to resolve it in writing for 30 days. These terms are governed by the laws of Wyoming, USA, the state of Emov Studio LLC. They exist in Spanish and English, and both versions are valid. You accept in the language you choose, and if there is a difference, the version you accepted in wins.
